1. Service Engagement
By accessing this terminal or engaging in our engineering services, you enter into a binding agreement governed by these terms. Our services are defined by professional integrity, technical precision, and strategic alignment with your business objectives.
2. Intellectual Property & Code Ownership
Unless otherwise specified in a formal Master Service Agreement (MSA):
- Proprietary Frameworks: All internal libraries, boilerplate code, and architectural patterns developed by us remain our intellectual property.
- Deliverables: Upon full payment, clients are granted a non-exclusive, perpetual license to the custom code developed specifically for their project.
- Restrictions: Reproduction or redistribution of our proprietary engineering patterns without authorization is strictly prohibited.
3. Professional Conduct & Technical Integrity
All users and clients agree to:
- Provide accurate technical specifications and business requirements.
- Respect the iterative nature of Agile development and sprint-based delivery.
- Refrain from any activities that attempt to compromise the security or stability of our digital infrastructure.
4. Technical Disclaimer
While we engineer for 99.9% uptime and maximum performance, all software is provided with the understanding that:
- Third-party dependencies (APIs, Cloud Providers) are subject to their own service level agreements.
- Performance metrics are influenced by external network conditions and hardware specifications.
- Continuous maintenance is required to ensure long-term system resilience.
5. Limitation of Liability
Our liability is limited to the scope of services defined in individual project contracts. We are not liable for indirect losses, data corruption caused by third-party services, or business interruptions resulting from external technical failures.
6. Governing Law
These terms are governed by the laws of the Republic of South Africa. Any disputes will be resolved through professional arbitration in Johannesburg.
